End User License Agreement

1. Agreement to Terms

This End User License Agreement ("EULA") is a legal agreement between you ("Licensee," "you," or "your") and UNISEN Systems ("Licensor," "we," "us," or "our") for the use of our software products, including LedgerOne ERP, AccountOne ERP, and related services ("Software").

2. License Grant

2.1 LedgerOne ERP (Web-Based)

Subject to your compliance with this EULA, UNISEN Systems grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use LedgerOne ERP through a web browser
• Use the Software for your internal business operations
• Allow authorized users within your organization to access the Software
• Store and process your business data within the Software

2.2 AccountOne ERP (Desktop Application)

Subject to your compliance with this EULA, UNISEN Systems grants you a limited, non-exclusive, non-transferable license to:

• Install and use AccountOne ERP on computers within your organization
• Use the Software on the number of devices specified in your license
• Make backup copies for archival purposes only
• Use the Software on a local area network (LAN) as permitted by your license

3. License Restrictions

You may NOT:

• Copy or Distribute: Copy, reproduce, or distribute the Software except as expressly permitted
• Modify: Modify, adapt, translate, or create derivative works of the Software
• Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to derive source code
• Rent or Lease: Rent, lease, lend, sell, sublicense, or transfer the Software
• Remove Notices: Remove, alter, or obscure any proprietary notices or labels
• Circumvent Protection: Bypass or circumvent any security or access control mechanisms
• Use for Competitors: Use the Software to develop competing products or services
• Exceed License: Use the Software beyond the scope of your license (e.g., more users or devices than licensed)

4. License Types and Scope

4.1 Single User License

• Permits one named user to access the Software
• User credentials are non-transferable
• For AccountOne ERP: Installation on one computer

4.2 Multi-User License

• Permits specified number of concurrent users
• Users must be within the same organization
• For AccountOne ERP: Installation on specified number of computers

4.3 Enterprise License

• Permits unlimited users within the licensed organization
• May include additional features and support
• Terms specified in separate enterprise agreement

5. Ownership and Intellectual Property

The Software is licensed, not sold. UNISEN Systems retains all right, title, and interest in:

• The Software and all copies thereof
• All intellectual property rights in the Software
• All trademarks, service marks, and trade names
• All documentation and materials
• All updates, upgrades, and modifications

This EULA does not grant you any rights to patents, copyrights, trade secrets, trademarks, or any other intellectual property rights.

6. Your Data

You retain all rights to data you input into the Software:

• You own all business data, customer information, and content you create
• We do not claim ownership of your data
• You are responsible for the accuracy and legality of your data
• You grant us a limited license to process your data to provide the Software
• Data handling is governed by our Privacy Policy and Data Processing Agreement

7. Updates and Upgrades

UNISEN Systems may provide updates, upgrades, or new versions:

• Updates may be automatic or require manual installation
• Updates are subject to this EULA unless accompanied by a separate license
• We may discontinue support for older versions
• Major upgrades may require additional fees
• You are responsible for maintaining compatible systems

8. Support and Maintenance

Support and maintenance services are provided according to your service plan:

• Support terms are outlined in our Service Level Agreement
• Support may require active subscription or maintenance agreement
• We reserve the right to refuse support for modified or unauthorized installations
• Support does not include training, customization, or consulting services

9. Fees and Payment

Use of the Software requires payment of applicable fees:

• Fees are specified in your purchase agreement or subscription plan
• Subscription fees are billed in advance
• Failure to pay may result in suspension or termination of license
• Fees are subject to change with notice
• Refunds are governed by our Refund Policy

10. Term and Termination

10.1 Term

• Subscription Licenses: Valid for the subscription period (monthly/annual)
• Perpetual Licenses: Valid indefinitely subject to compliance with this EULA
• Trial Licenses: Valid for the specified trial period

10.2 Termination by You

You may terminate this license at any time by:

• Canceling your subscription
• Uninstalling and destroying all copies of the Software
• Ceasing all use of the Software

10.3 Termination by UNISEN Systems

We may terminate this license if you:

• Breach any term of this EULA
• Fail to pay applicable fees
• Use the Software for illegal purposes
• Violate our Acceptable Use Policy

10.4 Effect of Termination

Upon termination:

• Your license to use the Software immediately ceases
• You must cease all use and uninstall the Software
• You must delete or return all copies of the Software
• For LedgerOne ERP: Your data will be available for export for 30 days
• For AccountOne ERP: You are responsible for backing up your data
• No refunds will be provided except as required by our Refund Policy

11. Warranties and Disclaimers

11.1 Limited Warranty

UNISEN Systems warrants that:

• The Software will perform substantially in accordance with documentation
• We have the right to license the Software to you
• The Software does not infringe third-party intellectual property rights

11.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNISEN SYSTEMS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation
• Accuracy or completeness of results

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• UNISEN Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for data loss (you are responsible for backups)
• We are not liable for third-party services or integrations
• We are not liable for damages caused by your misuse of the Software

13. Indemnification

You agree to indemnify and hold harmless UNISEN Systems from any claims arising from:

• Your use of the Software
• Your violation of this EULA
• Your violation of any law or third-party rights
• Your data or content

14. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You will not export or re-export the Software to prohibited countries or entities.

15. Governing Law and Jurisdiction

This EULA is governed by the laws of Pakistan. Any disputes shall be resolved in the courts of Karachi, Pakistan.

16. Entire Agreement

This EULA, together with our Terms of Service, Privacy Policy, and other referenced policies, constitutes the entire agreement between you and UNISEN Systems regarding the Software.

17. Changes to This EULA

We may update this EULA from time to time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.
